Statement of Responsibilities and
Purpose:
Represent all enquiries and proposals by any Member for
additions, amendments or deletions of the Bylaws and Rules of the Sunflower Association to
the Board for appropriate action in behalf of the best interests of the Sunflower
community.
The Board and the Bylaws and Rules Committee shall act in
concert to fulfill, without limitation, the responsibilities and duties as set out
hereafter:
- The Board shall give notice that all enquiries and
proposals for additions, amendments or deletions of The Sunflower Community Association
By-laws and Rules that may derive from any Member must be submitted to the chairman of the
Rules Committee in the manner specified by that committee.
- Perform periodic reviews of the governing documents for
correctness, and for completeness and consistency.
- Establish procedures for the
management of a thorough investigation and reporting of all foreseeable consequences of
proposals submitted therefore.
- The chairman of the Bylaws and Rules Committee shall
report in writing to the Board in its regularly scheduled meetings, or special meetings
called for that purpose, on the status of all enquiries and proposals for amendments under
investigation.
- The Bylaws and Rules Committee may make requests to the
Board for special provisions to receive arguments by interested parties or engage outside
persons to provide expert opinion, as it deems necessary.
- The report of the Bylaws and Rules Committee to the Board
shall include recommendations and supporting arguments for appropriate action consistent
with the status of the investigation and, when appropriate, shall reference and reconcile
the recommendations with relevant provisions of the current governing documents of the
Sunflower Community Association.
- The written report of the Bylaws and Rules Committee to
the Board shall represent the majority opinion of the Committee and include a minority
opinion if the majority opinion is not a consensus of the Committee.
- The Board shall receive the report of the Bylaws and
Rules Committee and, after due consideration, shall take such action as it deems
appropriate.
Membership:
The Committee is a standing committee of 5 to 7
members. Its members are recommended by the committee chairperson, appointed by the Board,
and shall serve at the pleasure of the Board.
Meeting Times/Locations:
The Bylaws and Rules Committee meets on the first
Thursday of the month at 5:30 PM in the Village Center.
